These terms and conditions ("Terms") govern your use of netrascale.com or any of the other platforms (collectively the "Site") owned and/or operated by NetraScale Corp. or any of its affiliated legal entities ("Company"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use, or stop using, the Site.

User Obligations

1.1. Eligibility: You must be at least 18 years old or of legal age in your jurisdiction to use the Site. By using the Site, you represent and warrant that you meet this and any other eligibility criteria that the Company may set.

1.2. Registration: To access certain features of the Site, you will be required to register and create an account, and formally accept these Terms and the Privacy Policy referred to below in order to complete your registration. You are responsible for providing accurate and complete information during the registration process and keeping your account information up to date.

User Conduct

2.1. Prohibited Activities: You agree not to engage in any of the following while using the Site:

User Content

3.1. Ownership: You retain ownership of any content you submit or post on the Site ("User Content"). By submitting User Content, you grant the Company a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display User Content on the Site.

3.2. Responsibility: You are solely responsible for any User Content you post on the Site. The Company does not endorse or guarantee the accuracy, reliability, or legality of User Content, and disclaims any liability arising from User Content.

Transactions

4.1. Listing and Purchasing: Users may list items or services for sale on the Site. The Company does not guarantee the quality, safety, or legality of any listed items or services. Buyers are responsible for verifying the accuracy of listings and sellers&apos identities.

4.2. Disputes: Any disputes or issues arising from transactions between users should be resolved between the involved parties. The Company does not mediate or assume any liability for such disputes.

Intellectual Property

5.1. Ownership: The Site and its contents, including but not limited to text, graphics, logos, images, and software, are the intellectual property of the Company (or its third-party licensors) and are protected by applicable intellectual property laws.

5.2. Restrictions: You may not use, reproduce, modify, adapt, distribute, or create derivative works from the Site&aposs content without the prior written consent of the Company.e Company does not mediate or assume any liability for such disputes.

Limitation of Liability

Termination

7.1. Suspension or Termination: The Company may, at its discretion, suspend or terminate your access to the Site without prior notice if you violate these Terms (including the User Conduct and User Content provisions) or for any other reason.

7.2. Effect of Termination: Upon termination, your right to use the Site ceases, although any of these Terms that by their nature should survive termination shall remain in effect.

Miscellaneous

9.1. Modifications: The Company reserves the right to modify or update these Terms at any time. Any changes will be effective upon posting on the Site.

9.2. Severability: If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.

9.3. Governing Law: These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law principles.

9.4. Entire Agreement: These Terms, together with the Privacy Policy and any specific agreements that you may enter into with the Company in connection with your use of the Site, constitute the entire agreement between you and the Company regarding your use of the Site and supersede any prior agreements or understandings.
